These Terms of Service (“Terms”) govern your use of BetterFriend (“Service”), operated by Vine Street Ventures LLC (“we,” “us,” “our”), an Indiana limited liability company. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Service Description

BetterFriend is a consumer service that helps you send physical postcards to friends and family for birthdays and other occasions. The Service includes: storing contact information you provide (names, birthdays, mailing addresses); sending you email reminders of upcoming birthdays; generating AI-created artwork for postcard covers; printing and mailing physical postcards via our third-party print-and-mail partner; and tracking delivery status of sent postcards.

BetterFriend is intended for personal, non-commercial use. You may not use the Service for bulk marketing, advertising, solicitation, political campaigning, debt collection, or any other commercial purpose.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an account, you represent that you meet these requirements.

3. Account Registration

You may register using Google sign-in or email and password. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update this information as necessary.

You may not create multiple accounts for the purpose of circumventing plan limits, abusing referral programs, or any other deceptive purpose.

4. Subscriptions and Payment

4.1 Plans and Pricing

BetterFriend offers paid subscription plans (Good, Better, Best) billed on a monthly or annual basis, as well as one-time card pack purchases. Current pricing is displayed on our website and may change with 30 days' notice to existing subscribers.

4.2 Free Trial

New users may be offered a free trial period. A valid payment method is required to start a trial. If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged. The trial may also end early if you reach the trial card limit, at which point billing begins immediately.

4.3 Billing

All payments are processed by Stripe, Inc. (“Stripe”). By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected billing interval. Annual subscriptions are charged in full at the start of each annual billing period.

4.4 Plan Changes

You may upgrade or downgrade your plan at any time through your account settings. Upgrades take effect immediately with prorated charges for the remainder of your billing period. Downgrades take effect at the end of your current billing period.

4.5 Cancellation

You may cancel your subscription at any time through your account settings or the Stripe Customer Portal. Upon cancellation, you retain access to paid features until the end of your current billing period. After that, your account enters a read-only state: you may view your contacts and card history, but you may not send new cards until you resubscribe. We do not offer refunds for partial billing periods on monthly plans. For annual plans, we do not offer refunds for unused months after the first 30 days.

4.6 Refund Policy

If you are dissatisfied with the Service within the first 30 days of your initial subscription (not trial), you may request a full refund by contacting our contact page. After 30 days, no refunds are issued. Refunds are not available for one-time card pack purchases once any cards from the pack have been sent.

5. Postcards and Content

5.1 Your Content

You are solely responsible for all content you submit through the Service, including personal messages written on postcards, custom image generation prompts, and any images you upload. You retain ownership of your content.

By submitting content to the Service, you grant us a limited, non-exclusive license to use, reproduce, and transmit your content solely for the purpose of operating the Service - specifically, to print it on postcards and deliver them to the recipients you designate.

5.2 Image Uploads and Prompts

If you upload images to be used on postcard covers, you represent and warrant that you own the rights to those images or have obtained all necessary permissions, licenses, or releases to use them. You may not upload images that infringe on the intellectual property rights of any third party, including copyrighted photographs, artwork, logos, or trademarks that you do not have the right to use.

AI-generated cover art created through the Service is generated based on text prompts you provide. You are responsible for ensuring your prompts do not request content that violates these Terms.

5.3 Prohibited Content

You may not use the Service to send postcards containing: threats, harassment, intimidation, or abuse directed at any person; content that is obscene, defamatory, or hateful; content that promotes illegal activity; impersonation of another person; unsolicited advertising, marketing, or spam; content that infringes on any third party's intellectual property rights; or any content that violates applicable law.

We reserve the right to review content submitted through the Service, to refuse to print or mail any postcard that we believe violates these Terms, and to suspend or terminate your account for violations. We are not obligated to monitor content but may do so at our discretion.

5.4 Recipient Consent

By providing a recipient's mailing address to the Service, you represent that you have a personal relationship with the recipient and a reasonable basis to believe they would welcome receiving a postcard from you. You may not use the Service to send postcards to persons who have asked you not to contact them, to persons you do not know, or as a means of harassment or unwanted contact.

5.5 Accuracy of Addresses

You are responsible for the accuracy of recipient mailing addresses you provide. We use address verification services to validate addresses, but we do not guarantee delivery. Postcards sent to invalid or incorrect addresses may be returned or undeliverable. No refunds or credits are issued for postcards that are undeliverable due to incorrect address information you provided.

6. Referral Program

6.1 How It Works

Each user receives a unique referral code. When a new user signs up using your referral code and becomes a paying subscriber, both you and the referred user receive one free month applied to your next billing cycle.

6.2 Restrictions

Referral rewards are limited to 12 free months per user per calendar year. You may not refer yourself, create multiple accounts to generate referral rewards, offer cash or other incentives in exchange for referral signups, post referral codes in paid advertising, or use referral codes in any deceptive or misleading manner. We reserve the right to void referral rewards obtained through abuse or violation of these Terms.

7. Intellectual Property

7.1 Our Property

The Service, including its design, software, text, graphics, logos, and the BetterFriend brand, is owned by Vine Street Ventures LLC and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service.

7.2 AI-Generated Artwork

Cover art generated by the Service using AI tools is created for your personal use on postcards. We make no claim of copyright ownership over AI-generated images produced through the Service. However, your right to use AI-generated images is limited to personal, non-commercial use through the Service. You may not use AI-generated images from the Service for commercial purposes, resale, or as the basis for products or merchandise.

7.3 Feedback

Any suggestions, ideas, or feedback you provide about the Service may be used by us without obligation or compensation to you.

8. Third-Party Services

The Service relies on third-party providers to operate, including but not limited to: Lob, Inc. for postcard printing, mailing, address verification, and delivery tracking; Stripe, Inc. for payment processing; Firebase (Google) for authentication; and AI image generation providers for cover art creation.

Your use of the Service is also subject to the terms and policies of these third-party providers where applicable. We are not responsible for the acts or omissions of third-party providers, including printing errors, delivery delays, payment processing issues, or service outages.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information and the personal information of your contacts. By using the Service, you agree to the terms of our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: the Service will be uninterrupted, error-free, or secure; postcards will be delivered by any specific date or at all; AI-generated artwork will meet your expectations or be free of errors or artifacts; or that address verification will be accurate in all cases.

Delivery timelines are estimates based on information provided by our print-and-mail partner and the United States Postal Service. We do not control and are not responsible for postal delivery times.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VINE STREET VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR EMOTIONAL DISTRESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vine Street Ventures LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: your violation of these Terms; your content, including postcard messages and image uploads; your violation of any third party's rights, including intellectual property rights; your use of the Service to send unwanted, harassing, or illegal mail; or any inaccuracy in the information you provide, including recipient addresses.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms, abuse of the Service, fraudulent activity, or for any other reason at our discretion with or without notice. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period as required by law or for legitimate business purposes.

You may delete your account at any time through your account settings. Account deletion is permanent and results in the removal of all your data, subject to a 24-hour grace period during which you may reverse the deletion by logging back in.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles.

14.2 Informal Resolution

Before filing any formal proceeding, you agree to attempt to resolve any dispute informally by contacting our contact page. We will attempt to resolve the dispute within 30 days.

14.3 Arbitration

Any dispute that cannot be resolved informally shall be settled by binding arbitration in Marion County, Indiana, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

14.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

16. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vine Street Ventures LLC regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
